Qualabi Terms of Service

Welcome to Qualabi. These Terms of Service ("Terms") govern your access to and use of the Qualabi web application, mobile applications, and related services (the "Services") offered by Full Send Management ("we", "us", or "our"). By using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Description of the Services

Qualabi provides qualitative business intelligence by turning voice updates from your team into audience-specific, AI-analyzed reports. The Services include meeting capture, transcription, summarization, and distribution of insights so leaders can get the intelligence that matters to them without additional status meetings. We may update, suspend, or discontinue features from time to time with reasonable notice where practicable.

Accounts and Access

You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. If you are an organization administrator, you are responsible for managing access and use by your users in accordance with these Terms and your agreement with us.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

• Use the Services in any way that violates applicable law or third-party rights.
• Attempt to gain unauthorized access to the Services, other accounts, or our systems or networks.
• Transmit malware, interfere with or disrupt the integrity or performance of the Services, or bypass any security or usage limits.
• Use the Services to build a competing product or to scrape, copy, or resell our data or functionality.
• Submit content that is defamatory, harassing, or that infringes intellectual property or privacy rights of others.

We may suspend or terminate access if we reasonably believe you have violated these Terms or acceptable use, or for other operational or legal reasons.

Your Content and Data

You retain ownership of the content and data you submit to the Services (e.g., recordings, transcripts, and business context). You grant us a limited license to use, store, process, and display that content and data as necessary to provide, improve, and secure the Services, and as described in our Privacy Policy. You are responsible for ensuring you have the rights to provide such content and that it complies with these Terms.

Our Intellectual Property

The Services, including the Qualabi name, logos, software, design, and documentation, are owned by us or our licensors and are protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or to copy, modify, or create derivative works of our technology except as expressly permitted in writing or as necessary to use the Services as intended.

Fees and Payment

If you have a paid subscription or order form, you agree to pay the fees described in your agreement. Fees may be updated with advance notice. You are responsible for taxes where applicable. We may suspend paid Services for non-payment until the balance is resolved.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. AI-GENERATED OUTPUTS (SUCH AS SUMMARIES OR INSIGHTS) ARE FOR INFORMATIONAL USE ONLY AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL, LEGAL, OR MEDICAL ADVICE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER).

Indemnification

You agree to indemnify and hold harmless us and our affiliates, officers, directors, employees, and licensors from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your content, or your violation of these Terms or any applicable law.

Termination

You may stop using the Services at any time. We may suspend or terminate your access or your organization's account for breach of these Terms, non-payment, or for other operational or legal reasons, with notice where required. Upon termination, your right to access the Services ceases. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

Governing Law and Disputes

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Missouri, and you consent to personal jurisdiction in such courts.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will revise the "Effective date" above and, where appropriate, provide notice via the Services or by email. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance. If you do not agree, you must stop using the Services.
